1) Agreement

These Terms & Conditions (“Terms”) govern your access to and use of Eco Metering Africa’s (“EMA”) websites, apps, devices, dashboards, APIs and related services (collectively, the “Services”). By using the Services, you agree to these Terms and to our Privacy Policy.

2) Eligibility & Accounts

You must be at least 18 and authorized to act for your organization. You are responsible for your credentials and for activity under your account. Notify us immediately of any unauthorized use.

3) Acceptable Use

  • Do not reverse engineer, interfere with, or attempt to bypass security or data protections.
  • Do not misuse APIs, attempt to access data you don’t own, or overload our systems.
  • Do not upload unlawful, harmful, or infringing content.
  • Comply with applicable laws and third-party rights at all times.

4) Devices, Data & Connectivity

Field devices and sensors require installation, connectivity and power (often solar) within supported ranges. You are responsible for providing suitable environments and connectivity. EMA may provide firmware updates to enhance performance or security.

Sensor, agronomic and environmental data generated by your deployment is processed to deliver insights and alerts. Aggregated or de-identified data may be used to improve models and Services.

5) Trials, Subscriptions & Fees

Where applicable, trials convert to paid plans unless cancelled before the trial ends. Fees, billing cycles and taxes are outlined in your order form or subscription screen. Late or failed payments may lead to suspension.

6) Intellectual Property

EMA owns the Services and all related IP, including software, models, designs and content. You retain rights to your own data and content you upload. You grant EMA a non-exclusive license to process such data solely to provide the Services and as otherwise permitted in these Terms.

7) Feedback

If you provide ideas or suggestions, you grant EMA a royalty-free, worldwide, transferable license to use them without restriction.

8) Confidentiality

Non-public information disclosed by either party and marked confidential (or reasonably understood to be confidential) must be protected and used only for the relationship. This excludes information already public or independently developed.

9) Privacy & Data Protection

Our Privacy Policy describes how we collect, use and share information. By using the Services, you acknowledge that processing.

10) Warranties & Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, EMA disclaims all warranties, including merchantability, fitness for a particular purpose and non-infringement. Agriculture is inherently variable; insights and recommendations are probabilistic and not guarantees of outcomes.

11) Limitation of Liability

To the extent permitted by law, EMA will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill. EMA’s aggregate liability for all claims relating to the Services shall not exceed the amounts paid by you to EMA in the 12 months preceding the event giving rise to the claim.

12) Indemnification

You will indemnify and hold EMA harmless from claims arising from your unlawful use of the Services or violation of these Terms.

13) Suspension & Termination

We may suspend or terminate access for breach or legal risk. You may terminate at any time as described in your order form or subscription settings. Upon termination, your right to use the Services ends; certain sections (e.g., IP, confidentiality, liability limits) survive.

14) Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict of laws. Courts in Nairobi, Kenya shall have exclusive jurisdiction, unless the parties agree otherwise in writing.

15) Changes

We may update these Terms to reflect product, legal or operational changes. We will post the updated version and revise the “Effective date” above. Material changes will be communicated where required.
